Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Rightnow mobile application, website, and related services (the "Service").

The Service is operated by Scalar Technologies s.r.o., IČO 13979132, DIČ CZ13979132, Evropská 516/10, Dejvice, 160 00 Prague, Czech Republic ("Scalar", "Rightnow", "we", "our", or "us").

By accessing or using the Service, you agree to be bound by these Terms.

2. About Rightnow

Rightnow is a social network for discovering events and connecting with friends.

Rightnow is not an event organizer, promoter, venue operator, sponsor, ticket seller, or event manager unless explicitly stated otherwise.

3. Related Policies

Your use of the Service is also governed by:

• the Privacy Policy, which explains how we collect, use, and protect personal data;
• the Content Removal Policy, which explains how event content and other materials may be reported and removed.

Both documents are incorporated into these Terms by reference. By using the Service, you acknowledge that you have read them.

4. Eligibility

The Service is intended for individuals aged 16 years or older.

By using the Service, you represent and warrant that:

• you are at least 16 years old;
• you have the legal capacity to enter into these Terms;
• your use of the Service complies with applicable laws.

5. Accounts

Users are responsible for maintaining accurate account information and safeguarding access to their accounts.

Phone-number verification may be required to create or maintain an account.

6. Usernames and Profiles

Rightnow reserves the right to:

• remove offensive usernames;
• modify misleading usernames;
• remove impersonating usernames;
• reclaim inactive usernames;
• require username changes where reasonably necessary.

Users do not acquire ownership rights in usernames.

7. Social Features

The Service may provide friend discovery, friendships, event sharing, event likes, notifications, and messaging functionality.

8. Messaging

Users must not use messaging functionality to harass others, send spam, distribute malicious content, engage in fraud, or violate applicable laws.

Rightnow does not actively monitor private conversations. Messages are not end-to-end encrypted.

9. Event Information and Recommendations

Rightnow automatically collects event information from publicly available sources.

Event descriptions, rankings, recommendations, highlights, summaries, and briefings may be generated or enhanced using automated systems and artificial intelligence technologies.

Event rankings, recommendations, highlights, visibility, and ordering may change at any time without notice.

Rightnow does not guarantee that any event exists, will occur, remains available, is accurately described, or is suitable for any user.

Users should independently verify important event details directly with the relevant organizer.

10. Third-Party Services and Event Organizers

Rightnow may link to third-party websites, organizers, venues, and ticketing providers.

Rightnow is not responsible for ticket sales, refunds, cancellations, organizer conduct, or third-party services.

11. User Conduct

Users must not:

• violate applicable laws;
• interfere with the operation of the Service;
• scrape user data;
• distribute malware;
• create fake accounts;
• engage in fraudulent activity.

12. Reports and Moderation

Rightnow may investigate reports and take actions including removing content, modifying content, hiding content, suspending accounts, or terminating accounts.

13. Event Management and Platform Control

Rightnow may add, remove, modify, reorder, hide, deprioritize, update, or discontinue events, recommendations, rankings, briefings, descriptions, images, sources, categories, and platform features at any time and without notice.

Such actions may occur automatically through algorithmic or AI-based systems.

14. Intellectual Property

The Service, including software, design, branding, trademarks, and original content provided by Rightnow, is protected by intellectual property laws.

Rightnow Network® is a registered trademark of Scalar Technologies s.r.o. in the European Union (EUIPO). The "Rightnow" application name, associated logos, and other brand features are trade names and brand features of Scalar Technologies s.r.o. Nothing in these Terms grants you any right to use them without our prior written permission.

15. Third-Party Event Content and Images

Event names, logos, trademarks, images, descriptions, and other event-related materials displayed through the Service may originate from publicly available sources and remain the property of their respective owners.

Rightnow does not claim ownership of third-party event content.

Where available, Rightnow displays attribution and links to original sources. Rightnow may cache publicly available content through infrastructure providers for technical and performance purposes.

16. Affiliate Links and Future Commercial Features

Rightnow may include affiliate links, referrals, promotional placements, or integrations with third-party services.

Rightnow may receive compensation from certain third-party relationships.

Rightnow may introduce paid features, subscriptions, premium services, promotional placements, organizer tools, or other commercial offerings in the future.

17. Affiliate Neutrality

Affiliate relationships, sponsorships, partnerships, or commercial arrangements do not determine:

• event collection;
• source selection;
• event ranking;
• recommendation ranking;
• briefing selection;
• event visibility.

Commercial relationships do not guarantee inclusion or ranking advantages.

18. Service Availability

The Service is provided on an "as available" basis.

19. Use at Your Own Risk

Attendance at events, interactions with organizers, purchases from third parties, and participation in activities discovered through the Service are undertaken entirely at the user's own risk.

20. No Professional Advice

Information provided through the Service is for general informational purposes only and does not constitute legal, financial, medical, travel, safety, or professional advice.

21. Force Majeure

Rightnow shall not be liable for failures caused by events beyond its reasonable control, including natural disasters, government actions, telecommunications failures, internet outages, infrastructure failures, or third-party service failures.

22. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied.

Nothing in these Terms excludes, restricts, or modifies any warranty, right, or remedy that you may have under applicable mandatory law, including mandatory consumer protection law, that cannot lawfully be excluded or limited.

23. Limitation of Liability

To the maximum extent permitted by law, Rightnow shall not be liable for event cancellations, inaccurate event information, third-party actions, loss of data, service interruptions, indirect damages, consequential damages, or incidental damages.

Nothing in these Terms limits or excludes Rightnow's liability for death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded under applicable law.

Where liability cannot be excluded but may be limited, Rightnow's liability is limited to the maximum extent permitted by applicable law.

24. User Content License

Users retain ownership of content they submit. By submitting content, users grant Rightnow a non-exclusive, worldwide, royalty-free license to host, store, process, and display such content, and to authorize service providers acting on Rightnow's behalf to do the same, as necessary to operate and improve the Service.

25. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless Scalar Technologies s.r.o. from claims, liabilities, damages, and reasonable expenses arising out of your misuse of the Service, your violation of these Terms, or your infringement of the rights of any third party.

This section does not apply to the extent a claim arises from Rightnow's own breach of these Terms or of applicable law, and nothing in this section limits your mandatory rights as a consumer.

26. Suspension and Termination

Rightnow may suspend, restrict, or terminate accounts at any time for violations of these Terms, abuse, fraud, legal requirements, or security concerns.

Account deletion is permanent.

27. Effect of Account Deletion

Account deletion permanently terminates access to the Service and may result in removal of profile information, friendships, messages, likes, preferences, and other account-related data, subject to the Privacy Policy and backup retention periods.

28. Changes to the Service and Terms

Rightnow may modify the Service and these Terms from time to time. Where changes are material, we may provide notice through the Service or by other appropriate means. The latest version will always be available through the Rightnow website and application.

29. Governing Law and Disputes

These Terms shall be governed by the laws of the Czech Republic, without regard to conflict-of-law principles.

Any disputes arising out of or relating to these Terms or the Service shall be subject to the jurisdiction of the competent courts of the Czech Republic.

If you are a consumer resident in the European Union, the preceding paragraph does not deprive you of the protection of the mandatory provisions of the law of your country of residence, and you may also bring proceedings in, and benefit from the mandatory consumer protection laws of, your country of residence.

30. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be replaced by a valid provision that most closely reflects its original intent.

31. Entire Agreement

These Terms, together with the Privacy Policy and the Content Removal Policy, constitute the entire agreement between you and Scalar Technologies s.r.o. regarding the Service and supersede any prior agreements relating to its subject matter.

33. Survival

The sections concerning Intellectual Property, Third-Party Event Content and Images, Affiliate Neutrality, User Content License, Indemnification, Disclaimer of Warranties, Limitation of Liability, Governing Law and Disputes, Severability, Entire Agreement, and Survival shall remain effective after termination to the extent necessary to fulfill their purpose.
